These Terms of Service ("Terms") govern your access to and use of the services, applications, websites, and content (collectively, the "Service" or "Services") provided by Salyani Technologies Pvt. Ltd. ("Service Provider," "we," "us," or "our").

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree to these Terms, do not use the Services.

1. Acceptance of Terms

By accessing or using the Services, you affirm that you are of legal age to enter into these Terms, or if you are not, that you have obtained parental or guardian consent to do so. You agree to comply with all applicable laws and regulations regarding your use of the Services. If you are using the Services on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms.

2. Changes to Terms

The Service Provider may revise and update these Terms from time to time in its sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms means that you accept and agree to the changes.

3. Accessing the Service and Account Security

  • Service Availability: We reserve the right to withdraw or amend these Services, and any service or material we provide on the Services, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Services is unavailable at any time or for any period.
  • Account Creation: To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Responsibility: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
  • No Sharing: You must not share your account or password with anyone.

4. Permitted and Prohibited Uses

  • Permitted Use: You may use the Services only for their intended purpose as made available by the Service Provider.
  • Prohibited Conduct: You agree not to:
    • Use the Services for any unlawful purpose or in any way that violates any applicable local, national, or international law or regulation.
    • Engage in any activity that interferes with or disrupts the Services or the servers and networks connected to the Services.
    • Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services, whether through hacking, password mining, or any other means.
    • Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
    • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
    • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from the Service Provider.
    • Collect or store any personally identifiable information from the Services from other users without their express permission.
    • Use the Services to transmit unsolicited promotional or commercial content.
  • User Responsibilities: You are solely responsible for your conduct while using the Services and for any content you submit, post, or display on or through the Services.

5. Intellectual Property Rights

  • Service Ownership: The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Service Provider, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
  • Limited License: These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, strictly in accordance with these Terms.
  • Trademarks: The Service Provider's name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Service Provider or its affiliates or licensors. You must not use such marks without the prior written permission of the Service Provider.

6. User Content

  • Responsibility for Content: If the Service allows you to submit, post, or display content ("User Content"), you are solely responsible for your User Content and the consequences of submitting and publishing it.
  • Rights Granted by You: By submitting User Content, you grant the Service Provider a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and the Service Provider's business.
  • Content Standards: You agree that your User Content will not violate any third-party rights, including copyright, trademark, privacy, publicity, or other personal or proprietary rights. You also agree that your User Content will not be unlawful, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourage conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate.

7. Third-Party Services and Links

The Services may integrate with, or contain links to, third-party websites, services, or resources that are not owned or controlled by the Service Provider. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that the Service Provider shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

8. Disclaimers

  • "As Is" Basis: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. THE SERVICE PROVIDER SPECIFICALLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
  • No Warranty of Uninterrupted Service: NEITHER THE SERVICE PROVIDER NOR ANY PERSON ASSOCIATED WITH THE SERVICE PROVIDER WARRANTS THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
  • Your Risk: YOUR USE OF THE SERVICES IS SOLELY AT YOUR OWN RISK.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SERVICE PROVIDER, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

10. Indemnification

You agree to defend, indemnify, and hold harmless the Service Provider, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

11. Termination

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

12. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Federal Democratic Republic of Nepal, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Services shall be instituted exclusively in the courts located in Kathmandu, Nepal, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country.

13. Dispute Resolution

  • Arbitration Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the rules of  the Nepal Council of Arbitration (NEPCA). The seat of arbitration shall be  Kathmandu, Nepal. The language of the arbitration shall be English.

14. Miscellaneous

  • Severability: If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
  • Waiver: No waiver of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Service Provider to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
  • Entire Agreement: These Terms and our Privacy Policy constitute the sole and entire agreement between you and the Service Provider regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
